How the Exclusivity
Mechanism Works

Territory protection is the question we receive most frequently from wholesale partners who have previously been undercut by their own supplier entering their market. Below is an honest explanation of how our exclusivity mechanism is structured -- including what it covers, what it does not, and how it is maintained over time.

We publish general guidance here. Specific terms are always negotiated individually and documented in the supply agreement. For questions beyond what is covered below, contact our team directly.

Territory is defined by mutual agreement before the first order

Before any exclusivity takes effect, both parties agree in writing on the geographic scope -- typically defined by country, state/province, or a combination of postal regions. Vague definitions like "the Southeast" are not used; the territory boundary is explicit. This clarity protects both sides.

Exclusivity is product-range specific, not blanket

The protection applies to the agreed product range -- for example, PVC plantation shutters in a defined colour palette, or a specific shade family. Goodwood retains the right to supply other product lines in the same territory unless those are also explicitly included. This allows multiple non-competing partners to operate in overlapping geographies with different product focuses.

Volume thresholds activate and maintain the exclusivity

Exclusivity is conditional on meeting an agreed annual purchase volume. This threshold is set at a level that reflects the realistic demand of the territory -- it is negotiated, not imposed. If the threshold is not met in a given year, the exclusivity reverts to a standard (non-exclusive) supply relationship, rather than terminating the partnership entirely.

Annual review allows territory scope to grow with your business

The supply agreement includes a structured annual review. If your business has grown into adjacent regions, or if you want to add product categories to the exclusivity scope, that is the mechanism for doing so. The review is bilateral -- Goodwood can also propose adjustments if market conditions change significantly.

What the mechanism does not cover

Exclusivity does not prevent Goodwood from supplying end-use customers (builders, installers) who purchase directly in small quantities outside your distribution channel -- this is rare in practice but worth noting. It also does not apply to product lines not included in the agreement. We prefer to be explicit about these limits upfront rather than create ambiguity later.
